1672. GRANT OF RIGHTS

171 copyright license to reproduce, prepare derivative works of,
172 publicly display, publicly perform, distribute and sublicense
173 the Contribution of such Contributor, if any, and such
174 derivative works, in source code and object code form.

176 b) Subject to the terms of this Agreement, each Contributor
177 hereby grants Recipient a non-exclusive, worldwide, royalty-free
178 patent license under Licensed Patents to make, use, sell, offer
179 to sell, import and otherwise transfer the Contribution of such
180 Contributor, if any, in source code and object code form. This
181 patent license shall apply to the combination of the
182 Contribution and the Program if, at the time the Contribution is
183 added by the Contributor, such addition of the Contribution
184 causes such combination to be covered by the Licensed Patents.
185 The patent license shall not apply to any other combinations
186 which include the Contribution. No hardware per se is licensed
187 hereunder.

189 c) Recipient understands that although each Contributor grants
190 the licenses to its Contributions set forth herein, no
191 assurances are provided by any Contributor that the Program does
192 not infringe the patent or other intellectual property rights of
193 any other entity. Each Contributor disclaims any liability to
194 Recipient for claims brought by any other entity based on
195 infringement of intellectual property rights or otherwise. As a
196 condition to exercising the rights and licenses granted
197 hereunder, each Recipient hereby assumes sole responsibility to
198 secure any other intellectual property rights needed, if any.
199 For example, if a third party patent license is required to
200 allow Recipient to distribute the Program, it is Recipient's
201 responsibility to acquire that license before distributing the
202 Program.

204 d) Each Contributor represents that to its knowledge it has
205 sufficient copyright rights in its Contribution, if any, to
206 grant the copyright license set forth in this Agreement.

2083. REQUIREMENTS

213 a) it complies with the terms and conditions of this Agreement; and

219 warranties or conditions of title and non-infringement, and
220 implied warranties or conditions of merchantability and fitness
221 for a particular purpose;

223 ii) effectively excludes on behalf of all Contributors all
224 liability for damages, including direct, indirect, special,
225 incidental and consequential damages, such as lost profits;

227 iii) states that any provisions which differ from this Agreement
228 are offered by that Contributor alone and not by any other
229 party; and

231 iv) states that source code for the Program is available from
232 such Contributor, and informs licensees how to obtain it in a
233 reasonable manner on or through a medium customarily used for
234 software exchange.

236When the Program is made available in source code form:

238 a) it must be made available under this Agreement; and

240 b) a copy of this Agreement must be included with each copy of
241 the Program.

243Contributors may not remove or alter any copyright notices contained

246Each Contributor must identify itself as the originator of its
247Contribution, if any, in a manner that reasonably allows subsequent
248Recipients to identify the originator of the Contribution.

2504. COMMERCIAL DISTRIBUTION

252Commercial distributors of software may accept certain
253responsibilities with respect to end users, business partners and the
254like. While this license is intended to facilitate the commercial use
255of the Program, the Contributor who includes the Program in a
256commercial product offering should do so in a manner which does not
257create potential liability for other Contributors. Therefore, if a
258Contributor includes the Program in a commercial product offering,
259such Contributor ("Commercial Contributor") hereby agrees to defend
260and indemnify every other Contributor ("Indemnified Contributor")
261against any losses, damages and costs (collectively "Losses") arising
262from claims, lawsuits and other legal actions brought by a third party
263against the Indemnified Contributor to the extent caused by the acts
264or omissions of such Commercial Contributor in connection with its
265distribution of the Program in a commercial product offering. The
266obligations in this section do not apply to any claims or Losses

268In order to qualify, an Indemnified Contributor must: a) promptly
269notify the Commercial Contributor in writing of such claim, and b)
270allow the Commercial Contributor to control, and cooperate with the
271Commercial Contributor in, the defense and any related settlement
272negotiations. The Indemnified Contributor may participate in any such
273claim at its own expense.

275For example, a Contributor might include the Program in a commercial
276product offering, Product X. That Contributor is then a Commercial
277Contributor. If that Commercial Contributor then makes performance
278claims, or offers warranties related to Product X, those performance
279claims and warranties are such Commercial Contributor's responsibility
280alone. Under this section, the Commercial Contributor would have to
281defend claims against the other Contributors related to those
282performance claims and warranties, and if a court requires any other
283Contributor to pay any damages as a result, the Commercial Contributor
284must pay those damages.

291WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
292OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
293responsible for determining the appropriateness of using and
294distributing the Program and assumes all risks associated with its
295exercise of rights under this Agreement, including but not limited to
296the risks and costs of program errors, compliance with applicable
297laws, damage to or loss of data, programs or equipment, and
298unavailability or interruption of operations.

3006. DISCLAIMER OF LIABILITY

304INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
305WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
306LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
307NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
308DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
309HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3117. GENERAL

314applicable law, it shall not affect the validity or enforceability of
315the remainder of the terms of this Agreement, and without further
316action by the parties hereto, such provision shall be reformed to the
317minimum extent necessary to make such provision valid and enforceable.

319If Recipient institutes patent litigation against a Contributor with
320respect to a patent applicable to software (including a cross-claim or
321counterclaim in a lawsuit), then any patent licenses granted by that
322Contributor to such Recipient under this Agreement shall terminate as
323of the date such litigation is filed. In addition, if Recipient
324institutes patent litigation against any entity (including a
325cross-claim or counterclaim in a lawsuit) alleging that the Program
326itself (excluding combinations of the Program with other software or
327hardware) infringes such Recipient's patent(s), then such Recipient's
328rights granted under Section 2(b) shall terminate as of the date such
329litigation is filed.

331All Recipient's rights under this Agreement shall terminate if it
332fails to comply with any of the material terms or conditions of this
333Agreement and does not cure such failure in a reasonable period of
334time after becoming aware of such noncompliance. If all Recipient's
335rights under this Agreement terminate, Recipient agrees to cease use
336and distribution of the Program as soon as reasonably practicable.
337However, Recipient's obligations under this Agreement and any licenses
338granted by Recipient relating to the Program shall continue and
339survive.

341Everyone is permitted to copy and distribute copies of this Agreement,
342but in order to avoid inconsistency the Agreement is copyrighted and
343may only be modified in the following manner. The Agreement Steward
344reserves the right to publish new versions (including revisions) of
345this Agreement from time to time. No one other than the Agreement
346Steward has the right to modify this Agreement. IBM is the initial
347Agreement Steward. IBM may assign the responsibility to serve as the
348Agreement Steward to a suitable separate entity. Each new version of
349the Agreement will be given a distinguishing version number. The
350Program (including Contributions) may always be distributed subject to
351the version of the Agreement under which it was received. In addition,
352after a new version of the Agreement is published, Contributor may
353elect to distribute the Program (including its Contributions) under
354the new version. Except as expressly stated in Sections 2(a) and 2(b)
355above, Recipient receives no rights or licenses to the intellectual
356property of any Contributor under this Agreement, whether expressly,
357by implication, estoppel or otherwise. All rights in the Program not
358expressly granted under this Agreement are reserved.

360This Agreement is governed by the laws of the State of New York and
361the intellectual property laws of the United States of America. No
362party to this Agreement will bring a legal action under this Agreement
363more than one year after the cause of action arose. Each party waives
364its rights to a jury trial in any resulting litigation.
